1. Agreement Overview
This is an agreement between you and Odyssey Holdings LLC DBA Trash Assist (and its affiliates, “Trash Assist” or “we”). Before using Trash Assist, please read these Trash Assist Terms and Conditions of Service, the Trash Assist Privacy Notice, the Trash Assist Recurring Payment Terms and Conditions, and any other rules or policies posted on the Trash Assist website or available through your Trash Assist app (collectively, this “Agreement”).
By using Trash Assist, you agree to be bound by the terms of this Agreement. If you do not accept the terms of this Agreement, then you may not use Trash Assist.
2. Scope of Service
By creating an account, accessing, or using our platform, you enter into a direct contractual relationship with Trash Assist, a technology services provider that facilitates the connection between individuals, homeowners, vacation rentals, and property managers seeking waste management services and independent third-party providers of such services (“Trash Assistants”).
Trash Assist does not provide services directly—it is not a waste hauler or contractor. All services are performed by independent Trash Assistants. Trash Assist acts solely as a facilitator.
3. Definitions

“Trash Assist” means the bin management service, including the Trash Assist app, website, and associated services.

“Software” refers to any app, updates, or tools provided by Trash Assist.

“Trash Assistant” refers to any contracted service provider executing bin management on behalf of Trash Assist.
4. Home Access
By submitting your service subscription request online, you are authorizing Trash Assist and its Trash Assistants to access your property (or designated location) for the purpose of moving your waste and recycling bins.
By subscribing to our service, you confirm:

You have the right to authorize access to the property.

You are granting explicit permission for Trash Assist to record video and audio while on your property using body cameras worn by Trash Assistants. These recordings are for liability protection, customer assurance, and incident documentation. Recordings may be retained and reviewed only as necessary to resolve issues or complaints.
It is your responsibility to ensure that bins are accessible on service dates. If Trash Assist or its Trash Assistants are unable to perform service due to lack of access, no refund or credit will be issued.
5. Service Description
According to the plan selected during sign-up, Trash Assistants will:

Move bins to the curb before trash pickup day.

Return them to their original location afterward.
6. Access Requirements
You must provide necessary information for access, including:

Gate codes
-
Garage codes
-
Pet relocation
-
Lock combinations
If access is blocked or unsafe, no service will be provided, and no refund will be issued.
7. Pricing
You agree to pay Trash Assist the current service fee associated with your chosen plan, plus any applicable taxes. All charges follow the billing terms presented during signup.
Trash Assist reserves the right to modify pricing at any time with at least 2 months' notice. If you don’t agree with new pricing, you may cancel your service before the new rates take effect.
8. Billing
Service fees are billed in advance on a monthly or quarterly basis, depending on your selected plan. Charges will recur automatically unless you cancel.
All local, state, and federal taxes will be added where applicable.
No partial credits or refunds will be issued for unused service.
9. Payment Terms
By subscribing, you agree to allow Trash Assist to automatically charge your payment method per your selected plan.
We may attempt to update your payment method using automated account updater services from your bank or credit card provider.
If your payment is declined, Trash Assist may retry for up to 20 consecutive days, and again for two more months, if needed. Repeated failures may result in service interruption or cancellation.
10. Cancellation
You can cancel your subscription by submitting a request at https://www.trashassist.com/policies/service-cancellation.
Trial Period:

A 15-day free trial begins upon activation.

Cancel within 15 days to avoid charges.
-
After 15 days, your paid plan activates automatically.
Monthly Plans:
-
You must give 30 days’ notice before your next billing cycle.
Quarterly Plans:
-
You must give 30 days’ notice to avoid being billed for the next quarter.

No refunds for unused portions of the quarter.
Enterprise Plans:
-
Canceling 50% or more of the properties, or closing the account, requires 90-day written notice.
Consolidated Billing Accounts:

Cancellation after invoice generation will not result in adjusted billing.
11. Pets
The homeowner is responsible for restraining pets.
If a Trash Assistant deems an unrestrained pet unsafe, service will be skipped with no credit or refund issued.
12. Vehicles
Trash Assist is not responsible for damage caused by any vehicle (yours or others) hitting or knocking over bins.
13. Garage Access
If you grant garage access:

You confirm it’s safe and hazard-free.

You are responsible for disarming alarms.

Trash Assist is not liable for:
-
Missing items
-
Garage door/opener damage
-
Garage being left open
-
We’ll use best efforts but assume no liability for garage-related access issues.
14. Safety Issues
You are responsible for ensuring your property meets all city code compliance requirements, including:

Gate security
-
Waste lines
-
Fence conditions
Trash Assist is not liable for service issues related to unsafe or non-compliant environments.
15. Overloaded & Overflowing Trash
To protect our Trash Assistants:

Do not overload bins
-
Lids must close fully
-
Trash must not obstruct access paths
If bins are overloaded or surrounded by excess waste, service will not be performed, and no refunds or credits will be issued.
16. Inclement Weather
In severe weather (e.g., heavy rain, ice, wind, snow), Trash Assist may delay, reschedule, or cancel service for safety reasons.
No refunds or credits will be issued for missed service due to weather.
17. Road Closures
We are not liable for missed pickups due to road closures that prevent access to your property.
18. Sanitation Clause
If bins are deemed excessively dirty or smelly, Trash Assist may decline service for hygiene and safety.
You will be notified via text or email. If not resolved, service may be suspended without refund.
19. Software & Tech Failures
While rare, we are not responsible for service interruptions caused by:

App crashes

Cellular outages
-
Hardware issues
No refunds or credits will be issued for these issues.
20. Holiday Schedule
Trash Assist will do its best to adjust routes based on holiday pickup changes by your city.
However, due to inconsistent municipal holiday schedules, we are not liable for missed pickups during holidays.
21. Short-Term Rental Properties
HOA Responsibility:
If the property is a short-term rental, you are fully responsible for compliance with HOA rules regarding bin placement. Trash Assist is not liable for any fines.
Guest Interaction:
If guests are present and accessing the property is deemed inappropriate, service may be skipped without refund.
22. Force Majeure
Trash Assist is not liable for service failure caused by events outside of our control, including:

Acts of God
-
Natural disasters
-
Government orders
-
Strikes
-
Transportation or power failures
If a Force Majeure event continues for 30+ days, either party may cancel this agreement.
23. Customer Satisfaction
If you're not satisfied, you must notify Trash Assist within 7 days so we can investigate and resolve the issue promptly.
24. Changes to Service
Trash Assist reserves the right to change, limit, or discontinue service or these terms at any time. Continued use of the service constitutes acceptance of any changes.

26. Arbitration & Disputes
Any disputes will be resolved through binding arbitration under Arkansas law. You waive the right to participate in class-action lawsuits or jury trials.
27. Limitation of Liability
Trash Assist and its affiliates are not liable for:

Missed pickups

Guest refunds
-
HOA fines
-
Bin damage
-
Vehicle damage from tipped bins
Maximum liability is limited to one year’s service fees per affected property.
28. Right to Refuse Service
Trash Assist may refuse or suspend service for:

Safety concerns
-
Property condition
-
Incomplete access
-
Terms violations
This can be done at our sole discretion, with or without explanation.

By opting into text messages, you agree to receive automated alerts.

30. Electronic Signature
Clicking "I agree" or submitting a signup form constitutes your legal signature. You agree this digital action has the same force as a handwritten signature.
